Important change – Family Foundation Register soon to be available online

The Ministry of Justice has prepared a draft amendment to move the Family Foundation Register online. Thanks to this amendment, interested parties will no longer have to travel to the District Court in Piotrków Trybunalski to obtain the necessary information and documents. The draft regulation on the family foundation register, which aims to facilitate access to the register and simplify procedures, has already been published on the Government Legislation Center portal.

Simplifications in the construction process for businesses

On November 7, the Sejm passed a law that significantly streamlines the investment process, including reducing the time needed to obtain permits, limiting the amount of paperwork, and increasing the predictability of the entire process. The changes respond to the demands of entrepreneurs and local governments and also implement the government’s deregulation objectives.

The new regulations clarify key definitions, expand the list of investments that do not require a building permit, simplify the rules for deviations from technical conditions, and enable wider use of simplified legalization procedures. The act also introduces a “yellow card” mechanism instead of immediate sanctions for significant deviations, limits the obligation to consult with the State Fire Service and Sanitary and Epidemiological Station (Sanepid), and digitizes construction documentation.

President signed the amendment to the CEIDG Act

On November 4, 2025, the President signed the Act of October 17, 2025, amending the Act on the Central Register and Information on Economic Activity (CEIDG) and the Information Point for Entrepreneurs (PIP).

The Act introduces the possibility of obtaining quick and comprehensive online information via the Information Point for Entrepreneurs (PIP), run by the minister responsible for the economy, including whether a given entity is listed in the VAT taxpayer register and what its status is.

The new regulations also govern the cooperation and data exchange between the PIP systems and the National Revenue Administration (KAS). KAS will regularly transmit current data from the VAT taxpayer register to PIP, such as identification numbers (NIP, REGON, KRS) and VAT status (active, exempt, deleted), to ensure data consistency and make it available to entrepreneurs within a single ICT system. The Act enters into force 14 days after its announcement, which took place on November 12, 2025.

Spatial planning and development – Act announced

On November 4, 2025, the President signed the Act of September 26, 2025, amending the Act on Spatial Planning and Development and certain other acts. It was announced in the Journal of Laws on November 12, 2025.

The purpose of the amendment is to ensure the continuity of public purpose investment implementation during the transitional period of the planning reform. The key change consists in allowing decisions on determining the location of a public purpose investment to be issued even after the current zoning study has lost its validity, and before the adoption of the new general plan of the municipality. The need for this correction stems from concerns that not all municipalities will manage to adopt the new general plan in time, which could block or significantly delay municipal investment projects.

Furthermore, the Act specifies the procedural rules concerning these decisions. It indicates that the provisions defining the elements that a decision on determining the location of a public purpose investment must contain (Art. 54) will apply to cases initiated from the date the amendment enters into force, and before the entry into force of the general plan. The amendment will enter into force 14 days after the day of its announcement.

Simplification of formalities and digitization in Limited Liability Companies (Sp. z o.o.) – draft amendment

The draft amendment to the Commercial Companies Code (KSH) primarily aims to reduce formalism in limited liability companies and adapt regulations to digital standards. Key changes focus on liberalizing the requirements regarding the form of consents and powers of attorney, which currently prove too stringent in the era of remote communication and holding meetings. It is proposed to replace the written consent of a shareholder to receive notices of meetings electronically (Art. 238 § 1 KSH) with consent expressed in documentary form i.e., for example, in the form of an email or text message. This is intended to simplify and speed up the communication process while maintaining the possibility of identifying the person making the declaration.

Simultaneously, the amendment to Art. 243 § 2 KSH will allow the company agreement of a limited liability company to introduce the option of granting a power of attorney to participate in the shareholders’ meeting in documentary form, without the need for a physical signature. The acceptance of this form will depend on the will of the shareholders themselves as expressed in the agreement, which ensures flexibility and the possibility of adapting identification mechanisms to the company’s needs. To prevent potential abuses related to the documentary form, the draft imposes an obligation on the company to take appropriate steps to identify the partner and the proxy, which serves as a protective clause and guarantees the maintenance of due diligence standards in business transactions.
