1. Granting power of attorney via the Internet – is it possible?
A power of attorney is an authorization to perform a legal act by which the powerholder authorizes a person or persons (proxy/proxies) to perform specific legal acts on his/her behalf and for his/her benefit. Can an entrepreneur grant a power of attorney via the Internet? Or is it better to use a document signed electronically?

2. Whistleblower protection: how to implement the procedure in a capital group and in a group of independent companies?
Among the various solutions adopted in the Act of 14 June 2024 on the protection of whistleblowers, one can find the provisions to facilitate the introduction and application of internal reporting procedures in capital groups and to enable independent entities to merge into groups in order to jointly receive, verify and investigate reports of breaches of law. Although the introduced regulations open up new opportunities for joint management of the risk associated with breaches of law, the question arises to what extent these regulations can be used in practice.

3. Access to business information – amendment of the act adopted
The Sejm has adopted an amendment to the Act on Access to Business Information and Exchange of Business Information. The new regulations will ensure a more transparent and secure exchange of data. They will also streamline the process of verifying counterparties and allow for faster conclusion of agreements and execution of transactions. Find out more

4. Gender parity in listed companies – consultation on draft bill
The Ministry of Justice is consulting on a draft Gender Balance Bill implementing the provisions of the EU Directive on improving gender balance among directors of listed companies and related measures.
Under the directive, representatives of the under-represented gender will have to occupy at least 40% of non-executive directors‘ positions, or, if the new rules apply to both non-executive directors and executive directors, the percentage will be up to 33% of all directors’ positions in a listed company.
The draft is now available on the website of the Government Legislation Centre.
5. The new migration strategy and the issue of employment of foreigners
The Council of Ministers voted in favour of adopting a new migration strategy for Poland for 2025-2030. One of the elements of the strategy is access of foreigners to the Polish labour market. Among other things, it was decided to maintain the instrument of statements on the employment of foreigners from selected countries. It currently applies to citizens of Ukraine, Belarus, Moldova, Georgia and Armenia.
Furthermore, steps are to be taken to introduce a new model for admitting foreigners to the Polish labour market based on the points model used in other countries.

6. Draft bill on artificial intelligence systems
A draft bill on artificial intelligence has been added to the list of legislative works. The aim of the new act is to create a system for the supervision of artificial intelligence systems in Poland in line with the so-called AI Act. It should be recalled that the AI Act is the first comprehensive piece of legislation regulating the artificial intelligence sector as part of the EU single market regulation.
