The defence industry and companies trading in dual-use products are facing changes that may revolutionize special trade. The Council of Ministers is currently processing a draft amendment to the regulations concerning so-called special trade and licensed activities. The draft, submitted by the Minister of Development and Technology in July 2024, is now under review by the Standing Committee of the Council of Ministers. The key assumptions of the draft include, among others, the alignment of Polish regulations with EU standards and the implementation of the Tracker 2.0 system. On 20 of February 2025 a draft of bill amending the Commercial Companies Code has been published on the website of the government’s legislative center. The main objective of the draft is to introduce changes to the Commercial Companies Code aimed at strengthening stockholder protection and certainty in business transactions in connection with the dematerialization of stocks in joint-stock companies and simple joint-stock companies. From January 1, 2026, the powers of the National Labour Inspectorate (PIP) will be significantly expanded. Inspectors will be able to independently convert civil law contracts into employment contracts by administrative decision, without the need to initiate court proceedings.

The draft regulation of the Minister of Family, Labour and Social Policy of 19 August 2025, initially proposing minor adjustments to the fees for legalising the employment of foreigners, underwent significant modification as a result of comments submitted by the Ministry of the Interior and Administration (MSWiA). The ministry pointed to the need to make the rates more realistic so that they reflect the administrative costs associated with handling the procedures. As a result, employers should expect up to a fourfold increase in fees for submitting applications for the issuance or extension of work permits (including seasonal permits) and for entering declarations of employment in the register.

On 15 October 2025, the President signed the Act of 12 September 2025 amending the Act on Investment Funds and Alternative Fund Management. The amendment simplifies the rules for merging units of participation in open-ended investment funds. The previous regulations allowed such an operation only in the event of a significant decline in their value, provided that this was provided for in the fund’s articles of association. Following the amendment to the Act, the condition of a ‘significant decline in value’ has been removed, and the only condition for merging units of the same category in an open-ended investment fund will be an appropriate provision in its articles of association.
The Act was published in the Journal of Laws on 20 October 2025 and enters into force 14 days after that date. You can read the text of the Act here.
The Ministry of Development and Technology and the Ministry of Finance are introducing a single, centralised tool, i.e. a joint company search engine available at biznes.gov.pl. The solution significantly facilitates the work of entrepreneurs, enabling comprehensive verification of business partners in one place. In addition to the data already available from the CEIDG and KRS registers, such as PKD codes, addresses, and concessions and licences obtained, the new functionality also allows for the verification of contractors’ VAT status. The aim of this change is to ensure quick and comprehensive verification based on reliable information from official sources and to simplify contact with the administration.
The introduction of this new functionality is the next step in the process of simplifying the rules for conducting business in Poland. The new search engine will be made available to entrepreneurs shortly after the President signs the Act adopted by the Sejm on 17 October 2025 and it is published in the Journal of Laws.
